For companies owned from abroad or by another company

A company with foreign or corporate shareholders and the bank file

The short answer

A UAE company owned from abroad, or by another company, opens a bank account on a file that proves who ultimately owns and controls it, link by link, with a source of funds the bank can follow. Every beneficial owner through the chain and each shareholder company's attested documents are what the Central Bank's due-diligence standards require the bank to have. We build that file in the order the bank reads it and introduce you to a bank whose appetite includes your ownership profile.

A bank reads a company with foreign or corporate shareholders as a chain of questions: who owns this company, who owns that owner, and so on until a person is reached. For each link it wants the constitutional documents, the register of members, proof of the directors' authority and, for a foreign company, attestation or apostille so the documents can be relied on in the UAE. For each person at the end it wants identification, address and a source of wealth and funds it can understand.

The applications that stall are the ones where the chain is incomplete, the documents are out of date or unattested, or the story told to the bank differs from the story the register tells. The readiness work is largely reconciliation: the file the bank receives says the same thing the authority's register says, in the order the bank's checklist expects.

This is for you if

  • Your UAE company's shareholders live abroad, or one of them is a company incorporated elsewhere.
  • The ownership runs through a holding company, a trust or a group of companies.
  • The bank has asked for documents you have never been asked for before.
  • You want the account opened once, on a file that stands up at the bank's annual review too.

This may not be the right route if

  • You want a bank named or an approval promised; the bank decides, on its own criteria.
  • You would rather not disclose the full ownership chain; the bank is required to have it.
  • The shareholders' documents cannot be attested in their home jurisdiction and there is no time to arrange it.

At a glance

Indicative cost
Attestation, apostille and the bank's own charges are theirs; the VelaroZone service fee for the file and the introduction is itemised in your engagement letter.
Timing
The chain mapped in days; attestation takes the issuing country's time; the bank's review runs on its own clock.
What's included
  • The ownership chain mapped, link by link
  • Foreign corporate documents attested and checked
  • The file built in the bank's order, reconciled with the register

What this service includes

  • A map of the ownership chain and the documents each link needs.
  • Attestation and apostille coordinated for foreign corporate documents.
  • A beneficial-owner and source-of-funds narrative written once and applied consistently.
  • The bank file assembled in the bank's order and an introduction to a bank whose appetite fits the profile.
  • Coordination of the bank's questions through its review.

What it does not include

  • The bank's decision, its timeline or the choice of bank; we introduce, the bank decides.
  • Legal advice on the group structure itself, which comes from a licensed law firm.
  • Any statement to the bank that the register does not support.

Short answers

The question every bank asks the owners

Source of funds is the line most files answer badly, and it is the one the bank reads first.

Questions

Frequently asked

Does a foreign shareholder need to come to the UAE?
Banks differ. Some require every beneficial owner or signatory to be identified in person; others accept certified identification through the bank's own network. We ask the bank before the file is lodged so nobody travels for a step that was not needed.
What is attestation, and who does it?
Attestation or apostille is the process by which a document issued in one country is made reliable in another โ€” through the issuing country's authorities and, where the country is not in the apostille convention, the UAE's mission there and the ministry here. We tell you which route your documents need and coordinate it.
The shareholder is a trust or a fund. Can the account still be opened?
Usually, with more documents: the trust deed or fund documents, the trustee's or manager's authority, and the identification of the people who ultimately benefit or control. The bank's appetite for such structures varies, which is why the introduction goes to a bank whose policy includes them.
How far back does the source-of-funds question go?
Far enough for the bank to understand how the wealth was built and where the money coming into the account will come from. A short, honest narrative with evidence behind it is what banks accept; a long one that changes between documents is what they refuse.
Will the bank ask again after the account is open?
Yes, at its periodic review and whenever the ownership changes. A file built to the standard above is the same file that answers the review; we keep it current with the register.
