1.2 Rules of interpretation

(a) Words in the singular include the plural and words in the plural include the singular.

(b) A reference to "writing" or "written" includes email.

(c) Each applicable Annex forms part of this Agreement in accordance with clause 11 and has effect as if set out in full in it.

(d) The words "including" and "include" are construed without limitation.

(e) This Agreement may be executed in any number of counterparts and by electronic signature, including by typing a name and selecting an acceptance control. Each counterpart and electronic signature has the same effect as a handwritten signature, and all counterparts together constitute one agreement.

(f) In the event of conflict between an Engagement Letter and these Terms, the Engagement Letter prevails for that engagement, save that clauses 5.11 to 5.14, and the cancellation and refund provisions of the applicable Annex, apply to every Order placed through the online checkout.

2. Supply of Services

2.1 This website is operated by Velarozone, the brand of Velarozone For Business men & women Services L.L.C S.O.C, a company licensed by the Dubai Department of Economy and Tourism (DET), licence no. 1653139, Clover Bay, Unit 2403, Business Bay, Dubai, UAE, domiciled in the UAE. Velarozone may be contacted at support@velarozone.com, by telephone on +971 4 497 5469 and by WhatsApp on +971 58 526 0677.

2.2 The use of this website, the submission of an enquiry, the use of the chat assistant and the completion of the planning tool do not create an advisory relationship or an Agreement.

2.3 The Agreement is formed when the Client accepts a scope of Services by: (a) placing and paying for an Order through the online checkout; (b) paying a payment link or invoice issued by Velarozone; or (c) accepting a quote or Engagement Letter. Velarozone shall keep a record of each acceptance.

2.4 An Order placed through the online checkout constitutes an offer by the Client. The Agreement for that Order is formed on payment, at checkout or through the invoice or payment link issued after review of the Order. Velarozone is entitled to decline an Order before payment. Where Velarozone declines or withdraws an Order after payment, Velarozone shall refund in full the amount paid for every Service that has not started, save where the law requires otherwise.

2.5 The Client shall be at least eighteen (18) years of age to place an Order. The Client warrants that the person placing the Order or accepting the Engagement Letter is authorised to bind the Client.

2.6 Velarozone shall perform the Services with reasonable skill and care and on a best-efforts basis.

2.7 Velarozone acts as adviser and coordinator. Velarozone prepares and checks documents, submits applications, liaises with the relevant Third-Party Provider and reports to the Client. Velarozone is not a government authority, regulator, bank, law firm, registered auditor, escrow agent, payment service provider or virtual-asset service provider, and is not a licensed tax agent unless the Engagement Letter states otherwise.

2.8 Every decision on a licence, permit, registration, visa, account, merchant facility or approval rests with the relevant Third-Party Provider, which applies its own criteria and may amend them without notice.

2.9 Any timeline provided by Velarozone is an estimate and does not constitute a commitment. Velarozone does not guarantee the approval of any application, the acceptance of the Client by any bank or institution, or completion within any period.

2.10 A refusal, request for information, change of requirement or delay by a Third-Party Provider does not constitute a failure by Velarozone to supply the Services. Velarozone shall notify the Client in writing of any such event and of the options that remain available.

2.11 The Contracting Entity contracts with the Client as principal and remains responsible to the Client for the Services it has agreed to supply, notwithstanding that an Affiliate, subcontractor or provider appointed by Velarozone performs all or part of them.

2.12 Notwithstanding clause 2.11, where a licensed Third-Party Provider, including but not limited to a law firm, a registered auditor or another licensed institution identified in the applicable Annex, performs a regulated service and contracts with the Client directly, that Third-Party Provider alone is responsible to the Client for that regulated service under its own terms. The Client shall accept that Third-Party Provider's terms where it so requires.

2.13 Velarozone is entitled to appoint Affiliates, employees, contractors, subcontractors and service providers to perform the Services.

2.14 The Client appoints Velarozone as its agent before authorities, free zones and registries for the purpose of the Services, and authorises Velarozone to hold, administer and use the Client's accounts on their online portals and to sign and submit forms on the Client's behalf where the relevant body permits an agent to do so. Where Velarozone is the Client's registered agent or portal administrator, Velarozone retains that role until the Agreement terminates in accordance with clause 7.

2.15 Unless the Engagement Letter provides otherwise, each Annual Service runs for twelve (12) months from its start date and renews automatically on each Renewal Date for a further twelve (12) months at the Charges then applying, unless the Client gives Velarozone written notice of non-renewal not less than sixty (60) calendar days before the Renewal Date.

2.16 Velarozone shall send the Client a written reminder not less than thirty (30) calendar days before each Renewal Date, together with the renewal invoice. The renewal invoice, together with the Government Fees for the renewal, is due on the Renewal Date.

2.17 Where the Client gives notice of non-renewal less than sixty (60) calendar days before the Renewal Date, the Annual Service renews and the renewal Charges are payable. Velarozone shall not pay any Government Fee for that renewal until the Client has paid it.

2.18 Where the Client does not renew an Annual Service because the Client is closing its company or transferring it to another provider, clause 7 also applies.

3. Compliance

3.1 The Client acknowledges and agrees that the Client is solely responsible for the compliance of its company with UAE law, the rules of its free zone or licensing authority, and its tax, economic substance, ultimate beneficial owner and anti-money-laundering obligations, including the deadlines attached to them, save for the filings that the Engagement Letter or Order expressly assigns to Velarozone.

3.2 The Client shall cooperate with all identity, beneficial ownership and anti-money-laundering checks required by Velarozone. Velarozone is entitled to decline or suspend the Services where it is unable to complete those checks.

3.3 Velarozone shall not act for any person, entity or country subject to sanctions under UAE law, resolutions of the United Nations or the regulations of the United States Office of Foreign Assets Control (OFAC).

3.4 Velarozone is subject to anti-money-laundering obligations, including identity and beneficial ownership verification, record-keeping and, in certain circumstances, reporting. Where the law prohibits disclosure of a report, Velarozone shall not disclose it to the Client.

3.5 Velarozone shall treat the Client's information as confidential and shall disclose it only to its Affiliates and to the Third-Party Providers and service providers necessary to perform the Services, or where required by law. The privacy policy governs the processing of personal data.

4. Client's Obligations

4.1 The Client represents, warrants and undertakes:

(a) to provide Velarozone with complete, accurate and current information and genuine documents promptly upon request, and to notify Velarozone in writing of any change without delay;

(b) that all documents provided to Velarozone are authentic and are the Client's to provide;

(c) that all information concerning its shareholders, managers and beneficial owners is true and complete;

(d) that all funds used by it are lawfully obtained;

(e) not to carry on any activity other than those permitted by its licence;

(f) to comply with all applicable laws and regulations, including anti-money-laundering laws;

(g) to be bound by the terms and conditions of each Third-Party Provider involved in the Services;

(h) to obtain any attestation or legalisation of documents required in their country of origin, unless Velarozone has expressly agreed in writing to coordinate it;

(i) to submit identity and financial documents only through the secure upload link issued by Velarozone, which is personal to the Client's file and expires, or through the client portal, and not through the chat assistant, WhatsApp messages, unsolicited email attachments or the website's enquiry forms;

(j) to keep its portal credentials and upload links confidential, and to accept responsibility for all use made of them;

(k) to pay the Charges and Disbursements on their due dates;

(l) to collect all original documents held by Velarozone within ninety (90) calendar days of written notice that they are ready for collection; and

(m) to perform all other obligations set out in this Agreement.

4.2 Velarozone relies on the information provided by the Client and is not obliged to verify it independently unless it agrees in writing to do so. Incomplete, late or inaccurate information may affect eligibility, timelines and Charges and may result in refusal, and does not entitle the Client to any refund.

4.3 Where documents are received through a channel other than those specified in clause 4.1(i), Velarozone is entitled to require the Client to resubmit them through the secure upload link and to delete the copy received.

4.4 Default. Where the Client fails to pay any amount on its due date, fails to perform any obligation under this Agreement, or breaches the law (a "Default"), then, without prejudice to any other right or remedy:

(a) Velarozone is entitled, after written notice to the Client, to suspend any or all of the Services, including Services under other Orders, until the Default is remedied;

(b) Velarozone shall not be liable for any fine, penalty, expiry, loss or delay arising directly or indirectly from the Default or from the suspension; and

(c) the Client shall reimburse Velarozone on demand for all costs and losses reasonably incurred by Velarozone as a result of the Default.

4.5 The Client shall indemnify Velarozone against all losses, costs, fines and claims, including claims by any authority, arising from: (a) information or documents provided by the Client that are false, misleading or not the Client's to provide; (b) the Client's business; (c) any Default; or (d) any breach by the Client of the law or of this Agreement.

5. Charges and Payment

5.1 The Charges are those stated at checkout, in the quote, payment link or Engagement Letter, and are denominated in UAE dirhams (AED). The Charges cover the work of Velarozone only, unless the price states that it includes a Government Fee or Disbursement.

5.2 Disbursements, including authority, free zone, registry, medical, immigration and bank charges, are payable in addition to the Charges unless the price states that it includes them. Disbursements are payable in advance, before Velarozone pays them on the Client's behalf, and are recharged as stated on the invoice. Disbursements are set by Third-Party Providers and may change without notice. For partner free zones, the free-zone fees displayed are the free zone's list price without markup.

5.3 Where a Disbursement increases before Velarozone pays it, Velarozone shall notify the Client in writing before payment, and the Client shall either pay the difference or cancel the affected Service in accordance with clause 5.11.

5.4 Work outside the agreed scope, including special requests and urgent or out-of-hours handling, shall be quoted in writing and shall not start until the Client has accepted the quote. Velarozone shall not invoice any work that the Client has not agreed.

5.5 A discount or promotional price applies only to the Order or period for which it was granted and does not apply to any renewal, extension or later Order unless Velarozone agrees otherwise in writing.

5.6 VAT is applied as stated with the price at checkout, in the quote or payment link, or on the invoice. A price stated as VAT inclusive is the total payable, and no further VAT is added.

5.7 The Charges and Disbursements are payable in advance, on placing the Order or on the terms stated on the invoice or payment link. The Client acknowledges and agrees that the Services shall start only on receipt of payment, unless Velarozone agrees otherwise in writing.

5.8 All amounts shall be paid in full without set-off, counterclaim or deduction, unless Velarozone agrees to the deduction in writing or a court so orders.

5.9 Any amount not paid by its due date shall bear interest at the rate of ten per cent (10%) a year from the due date until the date of payment or, if lower, at the maximum rate permitted by law.

5.10 Where a cheque provided by the Client is returned unpaid, or a card payment fails or is reversed after it has been accepted, the Client shall pay a charge of AED 250 (two hundred and fifty UAE dirhams) for each such event, in addition to the amount due. This charge does not apply to a card payment declined at checkout before acceptance.

5.11 Work on a Service starts on the earliest of: (a) the preparation or submission of an application; (b) the booking of an appointment; (c) the delivery of any part of the Service; or (d) the payment of any Third-Party Provider for the Service. The review of an Order and the completion of identity and compliance checks do not constitute the start of work. A cancellation takes effect on receipt by Velarozone of the Client's written notice at support@velarozone.com, and whether a Service has started is determined at that time.

5.12 Once a Service has started, the Charges for it are non-refundable in all circumstances, including where a Third-Party Provider refuses or delays an application. On cancellation, the Client shall pay for work performed and Disbursements incurred up to the date of cancellation.

5.13 Disbursements paid to Third-Party Providers are non-refundable by Velarozone.

5.14 Save as the applicable Annex provides otherwise, no refund is payable where the Client cancels a Service for a change of mind. Where Velarozone declines or is unable to perform a Service, Velarozone shall refund the portion of the Charges covering work not performed, less the Disbursements already paid.

5.15 Where the scope or volume required by the Client differs from the Order, Velarozone shall notify the Client and quote the difference before performing the additional work, and the Client shall either accept the quote or cancel in accordance with clauses 5.11 to 5.14 and the applicable Annex.

5.16 The Client is responsible for selecting the Services suited to its circumstances. Where Velarozone identifies that a selection does not correspond to the information provided by the Client, Velarozone shall notify the Client before starting.

5.17 The price at checkout is stated in AED and specifies what it covers, whether it is annual and whether it is VAT inclusive. A price stated as "Confirmed by finance" is not binding until confirmed by Velarozone in writing.

5.18 Card payments are processed by N-Genius under the Payment Card Industry Data Security Standard (PCI DSS). Velarozone does not receive or store full card details. Card payments are charged in AED, and any currency conversion and related fees are applied by the Client's card issuer.

5.19 Following payment, the Client receives a payment confirmation and Velarozone issues an invoice for the Services selected and paid for.

5.20 Velarozone shall pay any refund due within thirty (30) calendar days of determining the Disbursements already paid and confirming the amount due. Refunds are paid in AED only to the card or account used for payment.

5.21 Where a payment fails or is reversed, Velarozone shall not start or continue the Services to which it relates until payment is received, and is entitled to issue a new payment link.

5.22 The Client shall raise any complaint with Velarozone in accordance with clause 10.10 before disputing a payment with its bank or card issuer. Where the Client disputes a payment for a Service that has started, Velarozone is entitled to provide the bank or card issuer with its record of the Order, the Client's acceptance of these Terms and the work performed. Where a chargeback is reversed in Velarozone's favour, or a payment is disputed for work already delivered, the amount remains due.

5.23 Velarozone does not store or charge the Client's card for a renewal. Each renewal requires a new payment by the Client.

5.24 Additional Government Fees, fee increases and additional Services may be charged separately and may appear as separate transactions.

5.25 Invoices may be issued, and payments collected, by the Contracting Entity or by an Affiliate named on the invoice.

5.26 Velarozone is entitled to appoint a collection agency or to bring legal proceedings to recover any unpaid amount, and the Client shall pay the reasonable costs of recovery.

5.27 Nothing in this clause 5 limits any right of the Client under applicable law that cannot be excluded.

6. Deposits

6.1 Any refundable deposit, referral fee or other amount held by Velarozone for the Client that remains unclaimed for six (6) months from the date of written notice to the Client that it is available is forfeited to Velarozone, save where the law requires otherwise. Upon forfeiture, Velarozone has no further liability to the Client in respect of that amount.

6.2 Where original documents are not collected within the period stated in clause 4.1(l), Velarozone is entitled to return them by courier at the Client's cost or, where the law permits, to dispose of them securely, and Velarozone shall not be liable for any original document left uncollected.

7. Termination, Transfer and Release

7.1 The Client is entitled to terminate the Agreement, or an Annual Service with effect from its Renewal Date in accordance with clause 2.15, by written notice to Velarozone.

7.2 Without prejudice to any other right or remedy, Velarozone is entitled to terminate the Agreement by written notice where: (a) any amount remains unpaid thirty (30) calendar days after its due date; (b) the Client breaches the law or this Agreement; (c) Velarozone is unable to complete its compliance checks; or (d) the Client does not renew an Annual Service.

7.3 On termination, all amounts owed by the Client to Velarozone become immediately due and payable, including Charges for work performed, Disbursements incurred and the Charges for any renewal that has started.

7.4 Transfer. Where the Client requests the transfer of its company, its agent or sponsorship arrangements, its portal administration or any of its Services to another provider or to the Client itself, the Charges applicable to the transfer and handover are equal to the Charges for the next renewal of the Services being transferred, as stated in the Engagement Letter or, where none is stated, as notified by Velarozone on the Client's written request.

7.4A Closure. No transfer and handover Charges and no renewal Charges are payable where the Client's company is liquidated or its licence is cancelled and the liquidation or cancellation is carried out by Velarozone, other than the Charges for any liquidation or cancellation Services ordered from Velarozone and amounts already due at the date of the Client's written request.

7.5 Release. Velarozone shall not issue an NOC or release letter, release the company, or hand over portal credentials, documents or records until all Charges and other amounts owed to Velarozone, including outstanding invoices, Disbursements and interest, have been paid in full.

7.6 Where Velarozone is the Client's agent, sponsor or portal administrator before an authority and the Agreement terminates without a completed transfer, Velarozone is entitled, after giving the Client written notice and a reasonable opportunity to arrange a transfer (save where the law requires earlier action), to notify the authority that it no longer acts for the Client and, where the authority's rules permit or require, to apply to cancel the licence, establishment card or visas that Velarozone holds or sponsors. All Government Fees and penalties arising from such cancellation are payable by the Client.

7.7 Termination does not affect any rights, remedies, obligations or liabilities of either party accrued up to the date of termination.

8. Limitation of Liability

8.1 To the extent permitted by law, the total liability of Velarozone arising under or in connection with a Service, whether in contract, tort (including negligence) or otherwise, shall not exceed the Charges paid by the Client for that Service, excluding Disbursements.

8.2 Velarozone shall not be liable for: (a) loss of profit, loss of opportunity, or any indirect or consequential loss; (b) any loss arising from reliance on general content on this website; (c) the decisions, delays, fee changes or refusals of any Third-Party Provider; (d) the acts or omissions of a licensed Third-Party Provider performing its own regulated service; or (e) any consequence of incorrect or incomplete information provided by the Client.

8.3 Velarozone shall not be liable for any delay or failure caused by events beyond its reasonable control, including but not limited to outages of authority or bank systems, government closures, changes in law or authority requirements, and public emergencies. Velarozone shall notify the Client of any such event and shall resume performance as soon as reasonably practicable.

8.4 Nothing in this Agreement limits liability for fraud or wilful misconduct, or any liability that cannot be limited by law.

8.5 The rights and obligations of Velarozone under this Agreement, including payment, the limitations of liability, the Client's indemnities, the confidentiality and data-sharing permissions, the release conditions in clause 7, and the right to recover debts, apply to and may be enforced by the Contracting Entity and by any Affiliate that performs the Services.

8.6 This clause 8 survives termination of the Agreement.

9. Changes

9.1 Where a law, regulation, authority requirement or Government Fee changes after the Order, Velarozone is entitled to amend the scope, timeline or Charges of the affected Service accordingly. Velarozone shall notify the Client in writing before the amendment takes effect, and the Client is entitled either to accept the amendment or to cancel the affected Service in accordance with clauses 5.11 to 5.14 and the applicable Annex.

9.2 Velarozone is entitled to amend these Terms. The version accepted by the Client when placing an Order or accepting an Engagement Letter applies to that Order or engagement. The version published on this website applies to Orders placed on or after its effective date. For Annual Services, the version published on the Renewal Date applies from that renewal, and Velarozone shall notify the Client of material changes before the Renewal Date.

10. Miscellaneous

10.1 Velarozone does not act as, and shall not be held out by the Client as, a sponsor or partner of the Client unless the Engagement Letter states otherwise.

10.2 The content, structure and design of this website are owned by Velarozone or its licensors. The Client may read, print and share pages for its own reference and shall not republish substantial parts of the content commercially without Velarozone's written consent.

10.3 Documents prepared by Velarozone for the Client, including applications, business plans and reports, are for the Client's use in the matter for which they were prepared. Velarozone retains all rights in its templates, methods and know-how.

10.4 Velarozone is not responsible for the content or availability of third-party websites linked from this website.

10.5 Notices shall be given in writing. Velarozone shall send notices to the email address provided by the Client, and the Client shall send notices to support@velarozone.com. A notice given by email constitutes written notice.

10.6 The Client shall not assign or transfer any of its rights or obligations under this Agreement without the prior written consent of Velarozone. Velarozone is entitled to assign its rights and obligations to a successor to its business on written notice to the Client.

10.7 This Agreement constitutes the entire agreement between the parties concerning the Services ordered.

10.8 If any provision of this Agreement is found illegal, invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

10.9 No failure or delay by Velarozone in exercising any right or remedy constitutes a waiver of that right or remedy.

10.10 Complaints. The Client shall submit any complaint in writing to support@velarozone.com, stating its reference and the matter complained of. Velarozone shall acknowledge the complaint within five (5) Business Days of receipt and shall issue a full written response within thirty (30) calendar days of receipt.

10.11 This Agreement is drafted in the English language. Where a translation is provided, the English text prevails. All dates and periods are determined in accordance with the Gregorian calendar.

10.12 This Agreement, and any engagement under it, is governed by the laws of the UAE as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction over any dispute arising under or in connection with it.

11. Annexes

11.1 The following Annexes supplement these General Terms: Annex A (Company Formation, Licensing, Visa and PRO Services); Annex B (Accounting, Tax and Finance Services); Annex C (Banking, Card Acquiring and Payment Services); Annex D (Virtual Assets, VARA and Crypto OTC); Annex E (Escrow and Transaction Management); Annex F (Legal, Corporate Structuring and Documentation); Annex G (Consulting, Fractional and Marketing Services).

11.2 Each Annex applies only to the Services within its scope. Where the Client orders Services within the scope of an Annex, that Annex forms part of the Agreement. In the event of conflict, the Annex prevails over these General Terms for the Services within its scope.

11.3 The Annex applicable to a Service is provided to the Client with the Engagement Letter or at checkout before the Order is placed, and forms part of the Agreement on acceptance.
