For corporate groups

UAE entry for international companies and expanding groups

The short answer

An expanding group usually chooses between a branch of the foreign company, a UAE subsidiary, or a regional headquarters entity. The right answer depends on the licensed activity, where customers and contracts sit, how the group wants profits and liability separated, the visas and workspace required, and what banks and regulators will expect to see.

Group expansion into the UAE rarely fails at the licence stage. It stalls at the operational stage: signatory authority, corporate documents that need legalisation, intra-group agreements, tax registration, and a bank that wants to understand the money flow before it opens an account.

We start with a structure assessment that maps your activity, contracting model, and group reporting needs, then set out the paths worth exploring and the approvals each one depends on.

Scope of this page

Velarozone provides setup and operational-readiness coordination. This page is general information, not legal, tax, immigration, or banking advice.

This is for you if

  • You already operate an entity outside the UAE and want a presence here.
  • You expect to contract locally, hire staff, or hold regional inventory.
  • You need clarity on branch versus subsidiary before committing budget.
  • Your finance or legal team needs documented reasoning, not a package price.

This may not be the right route if

  • You want a licence issued immediately with no activity or substance review.
  • You need a guaranteed corporate bank account as a condition of proceeding.
  • You are looking for a structure whose main purpose is to avoid home-country obligations.
  • You are a sole operator with no existing entity — the freelancer route may suit better.

Decision factors

What actually decides your route

An adviser works through these factors with you before any structure is recommended. Each one can change the licence, the emirate or free zone, the visa allocation, and the banking conversation.

Expected flows, counterparties, source of funds narrative

Possible directions

Structure categories an adviser will assess

These are topics for assessment, not recommendations. The right answer depends on your activity, customers, ownership, team, workspace needs, and regulator or bank requirements.

Branch of the foreign company

The same legal entity operating in the UAE. Often relevant where the group wants contractual continuity. Approvals and permitted activities are specific.

UAE subsidiary (mainland)

A separate UAE company able to contract onshore. Ownership rules are broader than they once were, though activity-specific conditions can still apply.

Free-zone subsidiary

A separate entity under a free-zone authority. May suit export, regional service, or holding-adjacent activity. Onshore trading may need extra arrangements.

Regional headquarters entity

Where the group centralises management, shared services, or regional oversight. Substance and staffing expectations are higher.

Representative office

Non-trading presence for marketing and liaison work. Cannot perform every commercial activity.

Layered group structure

An operating entity with a separate holding vehicle. Requires senior structuring review and coordination with your tax advisers.

Questions

Frequently asked

Is a branch or a subsidiary better for a foreign group?
Neither is universally better. A branch keeps a single legal entity and can suit contractual continuity; a subsidiary separates liability and can simplify local contracting and later investment. The permitted activity, regulator, and group reporting needs decide it.
Can the group own 100% of a UAE entity?
Free zones can offer up to 100% foreign ownership, and mainland ownership rules are broader than they once were. Strategic-impact and activity-specific conditions can still apply, so the exact activity must be verified with the licensing authority.
How long does a group setup take?
We report by stage rather than promising calendar days. Corporate document legalisation, activity approvals, and bank review are the usual variables and are outside our control.
Will the UAE entity pay corporate tax?
UAE corporate tax applies at 0% on taxable income up to AED 375,000 and 9% above that, and taxable income is not the same as revenue. Free-zone treatment depends on conditions. We coordinate with your tax adviser rather than issuing a tax opinion.
Do you guarantee a corporate bank account?
No. We prepare and coordinate the application. Every bank applies its own KYC, AML, and risk assessment, and the decision remains with the bank.

Start with a structure assessment, not a package

In an initial consultation you receive a plain-language decision summary, a document-preparation list, and the next actions for your situation. It is not an approval, a fixed price, or a tax opinion.

We prepare and coordinate corporate bank-account applications. We do not open accounts and cannot guarantee approval, a particular bank, or a timeline. Each bank applies its own KYC, AML, and risk assessment.

UAE corporate tax, VAT, and free-zone treatment depend on your specific facts. Home-country obligations may also apply. We coordinate with your tax adviser and do not provide a tax opinion.
