UAE offshore companies: what they are and what they are not

The short answer

A UAE offshore company — most commonly registered with RAK ICC or as a JAFZA Offshore company — is an international business vehicle used for holding assets, shares, or property where permitted. It does not carry a licence to trade inside the UAE market, does not come with residency visas, and does not provide physical premises. If you need to live in the UAE or invoice UAE customers, an offshore company is the wrong instrument.

Offshore is the most misunderstood route in the UAE. It is regularly sold as a cheap alternative to a free-zone licence, which it is not: the two do fundamentally different jobs.

Where offshore does work is as a holding or asset-owning layer, often alongside an onshore or free-zone operating company. That combination has to be planned with your tax adviser, because substance and control questions in your home country do not disappear because a company was registered here.

Frequently asked

Can I get a residency visa with an offshore company?
No. Offshore companies do not carry a visa allocation. Residency requires a free-zone or mainland entity, or another eligible route.
Can an offshore company open a UAE bank account?
Sometimes, but banks apply close scrutiny and often ask detailed substance and source-of-funds questions. No account can be guaranteed.
Is an offshore company tax-free?
That is not a question we answer with a yes. UAE and home-country tax treatment depends on residence, control, and the facts. This is an adviser question, and we coordinate rather than opine.
Can an offshore company own Dubai property?
Certain offshore vehicles are recognised for property ownership in defined areas, subject to the rules in force and developer or land-department requirements. It must be checked case by case.
Is offshore cheaper than a free zone?
The registration can be cheaper, but it does a different job. If you need visas or want to trade in the UAE, offshore does not substitute for a licence.
