Ongoing compliance

Amending or closing a UAE trade licence

The short answer

Changing an activity, a shareholder, a manager, a trade name, or an address on a UAE trade licence requires a formal amendment filed with the issuing authority — none of these can simply be updated informally. Closing a company down properly means cancelling the licence, closing the linked immigration file, and deregistering for corporate tax and VAT where registered; letting a licence lapse without formally cancelling it usually leaves obligations open rather than closing them.

Businesses change. Shareholders join or leave, activities expand, addresses move, and sometimes the business closes altogether. Each of these is a distinct formal process with the licensing authority, and none of them happens automatically just because the underlying facts have changed.

The area that causes the most trouble is closure. Simply stopping renewal payments does not end a company's obligations — it can leave an open immigration file, unresolved employee matters, and unclosed tax registrations, all of which can resurface as fines or blocks on the shareholders' other UAE dealings.

This page sets out the main categories of amendment and the sequence for a proper cancellation, so changes are made through the right channel the first time.

Scope of this page

Velarozone provides setup and operational-readiness coordination. This page is general information, not legal, tax, immigration, or banking advice.

This is for you if

  • You need to add, remove, or change an activity on an existing licence.
  • A shareholder, partner, or manager is joining, leaving, or changing their role.
  • You are changing your trade name, registered address, or legal form.
  • You are closing the business and want it done properly rather than left to lapse.

This may not be the right route if

  • You are setting up a new licence — that is a formation process, not an amendment.
  • You want to make a change informally without notifying the authority.
  • You are looking to reduce a tax liability retroactively through a late deregistration.
  • You need a personal visa cancellation only, unconnected to a licence change.

Decision factors

What actually decides your route

An adviser works through these factors with you before any structure is recommended. Each one can change the licence, the emirate or free zone, the visa allocation, and the banking conversation.

Common amendments and closure routes.

  • Add/remove activity

    What is typically involved
Formal amendment application; possible external approval
    What to watch for
Some activities cannot be combined on one licence
  • Shareholder change

    What is typically involved
Share transfer or amendment filing, updated MOA
    What to watch for
May affect visa sponsorship and bank signatory records
  • Manager/signatory change

    What is typically involved
    Amendment filing with updated authorisation
    What to watch for
    Bank mandates need separate updating
  • Name or address change

    What is typically involved
    Amendment filing, updated certificate
    What to watch for
Contracts, invoices, and bank records need updating to match
  • Licence cancellation

    What is typically involved
    Formal cancellation application, liability clearance
    What to watch for
Immigration file and staff visas must be closed first
  • Non-renewal

    What is typically involved
Licence simply lapses without formal cancellation
    What to watch for
Does not close obligations — usually creates penalties instead

Possible directions

Structure categories an adviser will assess

These are topics for assessment, not recommendations. The right answer depends on your activity, customers, ownership, team, workspace needs, and regulator or bank requirements.

Activity amendment

Adding or removing named activities, sometimes triggering a fresh external approval.

Ownership amendment

Share transfer between existing or incoming shareholders, updating the licence and MOA.

Management amendment

Changing the general manager, director, or authorised signatory on record.

Administrative amendment

Trade name or registered address change, requiring reissuance of the certificate.

Voluntary cancellation

A planned, orderly closure with liabilities cleared and the immigration file closed.

Deregistration for tax/VAT

Separate applications with the Federal Tax Authority once the licence itself is being closed.

What this service includes

  • Preparation and filing of amendment applications with the issuing authority.
  • Sequencing guidance for closures — immigration first, then tax, then the licence.
  • Coordination on clearing outstanding fines, fees, or employee matters before cancellation.
  • Liaison with the Federal Tax Authority on corporate tax and VAT deregistration where registered.
  • Updated documentation for banks and other counterparties after any amendment.

What it does not include

  • Legal advice on shareholder disputes underlying an ownership change.
  • Tax deregistration decisions — coordinated with your tax adviser, not decided for you.
  • Employee dispute resolution connected to a closure — referred to the appropriate process.

Process

Stages, not promised calendar days

Timelines depend on activity approvals, document legalisation, authority processing, and bank review. We report progress by stage.

Questions

Frequently asked

Can I just stop renewing my licence instead of cancelling it?
That is non-renewal, not cancellation, and it usually leaves obligations open rather than closing them — fines can accrue and the immigration and tax files may remain active.
How long does licence cancellation take?
It depends on outstanding liabilities, employee visa cancellations, and tax deregistration, all of which the authority requires to be cleared first. There is no fixed processing time we can guarantee.
Do I need to deregister for corporate tax when I close the company?
Yes, deregistration is a separate filing with the Federal Tax Authority once you meet the conditions to close, and it does not happen automatically when the licence is cancelled.
Can I change my shareholders without changing the licence?
No. A shareholder change requires a formal amendment and an updated memorandum of association, filed with the issuing authority.
What happens to employee visas when the company closes?
Sponsored visas must be cancelled as part of the closure sequence before the establishment card and licence can be fully closed.

Start with a structure assessment, not a package

In an initial consultation you receive a plain-language decision summary, a document-preparation list, and the next actions for your situation. It is not an approval, a fixed price, or a tax opinion.

This page is general information about UAE business setup, not legal, tax, immigration, or banking advice. Rules, fees, permitted activities, and bank policies can change. Final eligibility depends on your facts and the applicable rules at the time of application.

UAE corporate tax, VAT, and free-zone treatment depend on your specific facts. Home-country obligations may also apply. We coordinate with your tax adviser and do not provide a tax opinion.

Residency and visa routes are subject to eligibility criteria and authority approval. We prepare and coordinate applications; the decision remains with the relevant authority.
