Formation route

Setting up a free-zone company in the UAE

The short answer

A free-zone company is registered with a specific free-zone authority rather than the mainland licensing department. It can offer up to 100% foreign ownership and a defined visa allocation, and it suits many service, export, and regional businesses. Trading directly with the UAE mainland market can require additional arrangements, and free-zone corporate tax treatment depends on meeting specific conditions.

There are many free zones, each with its own activity list, workspace options, visa allocations, fees, and renewal rules. Choosing the zone before choosing the activity is the most common and most expensive mistake.

We start from your permitted activity, then look at where your customers are, how many visas you need, and what a bank will ask about your business, before shortlisting zones.

Scope of this page

Velarozone provides setup and operational-readiness coordination. This page is general information, not legal, tax, immigration, or banking advice.

This is for you if

  • Your clients are mainly international, regional, or export-focused.
  • You want 100% foreign ownership in a defined regulatory environment.
  • You need a small number of visas and a flexible workspace option.
  • Your activity appears on the target zone's permitted activity list.

This may not be the right route if

  • Your revenue depends on selling directly into the UAE mainland market.
  • You need a physical retail presence outside a free zone.
  • Your activity requires a mainland-only regulator approval.
  • You have chosen a zone based only on price and not on activity fit.

Decision factors

What actually decides your route

An adviser works through these factors with you before any structure is recommended. Each one can change the licence, the emirate or free zone, the visa allocation, and the banking conversation.

Possible directions

Structure categories an adviser will assess

These are topics for assessment, not recommendations. The right answer depends on your activity, customers, ownership, team, workspace needs, and regulator or bank requirements.

Single-shareholder company

One individual owner. Common for consultants and founder-led service businesses.

Multi-shareholder company

Two or more owners with a shareholder agreement and clear signatory arrangements.

Corporate-shareholder company

Owned by an existing entity. Requires legalised corporate documents.

Branch of an existing company

A branch registered in the free zone rather than a new legal entity.

Freelancer licence

A licence in your own name where the zone offers one and your activity qualifies.

Dual-licence arrangements

Where a zone and the mainland offer an arrangement to serve both markets. Availability and conditions vary.

Questions

Frequently asked

Can a free-zone company trade with the UAE mainland?
Not always directly. Selling into the mainland market can require additional arrangements such as a distributor, an agent, or a mainland presence, depending on the activity and the authority's rules.
Is a free-zone company tax-free?
No. UAE corporate tax applies, and a 0% rate on qualifying income is available only to a Qualifying Free Zone Person that meets specific conditions. Non-qualifying income is taxed under the standard rules.
How many visas can I get?
Visa allocation depends on the zone, the package, and your workspace. It is set by the authority, not by us.
Which free zone is cheapest?
We do not lead with price, because a cheap package that does not cover your activity costs more later. We compare total cost including visas, workspace, renewals, and compliance.
Do I need to visit the UAE?
Some steps can be handled remotely and others may require attendance, biometrics, or in-person bank meetings. It depends on the zone and the bank.

Start with a structure assessment, not a package

In an initial consultation you receive a plain-language decision summary, a document-preparation list, and the next actions for your situation. It is not an approval, a fixed price, or a tax opinion.

UAE corporate tax, VAT, and free-zone treatment depend on your specific facts. Home-country obligations may also apply. We coordinate with your tax adviser and do not provide a tax opinion.

We prepare and coordinate corporate bank-account applications. We do not open accounts and cannot guarantee approval, a particular bank, or a timeline. Each bank applies its own KYC, AML, and risk assessment.
