How to Structure a UAE Joint Venture with an Overseas or Local Partner

Published

The short answer

The first decision in a UAE joint venture is not which jurisdiction to pick but whether the venture needs its own company at all. Under Federal Decree-Law No. 32 of 2021 on Commercial Companies, legal personality attaches only once an entity is registered on the commercial register; short of that, the partners' own contract governs contributions, profit-sharing and liability between them. Where the partners do incorporate, the Ministry of Economy and Tourism and the relevant licensing authority decide whether full foreign ownership applies or whether the activity sits on the Cabinet's strategic-impact list. The fact that most often decides the route is whether the partners want one licensed, banked vehicle of their own, or a contract run through an existing company.

Incorporated or unincorporated: the fork UAE law forces first

A UAE joint venture is not, by itself, one of the company forms the law defines. Under Federal Decree-Law No. 32 of 2021 on Commercial Companies, a company acquires legal personality only once it is entered on the commercial register; an arrangement between partners that stops short of registering one of the law's company forms does not carry that separate legal personality, and the partners' own contract is what governs contributions, profit-sharing and liability between them in the meantime.

An incorporated joint venture gets its own commercial registration, its own licensing relationship and its own standing with banks. A venture run instead as a contract between the partners' existing companies has none of that: everything is held in an existing company's name, which has to be documented precisely so each partner's share of risk and upside is clear without a shared registration to point to.

Foreign ownership and the strategic-impact exception

Full foreign ownership is available for most mainland commercial activities, which removed the earlier requirement for a UAE national to hold a majority share in most cases. That makes an overseas partner's shareholding mostly a commercial choice rather than a legal ceiling for most activities.

The exception is Cabinet-designated activities with strategic impact, where full foreign ownership is not automatic and the relevant regulatory authority approves the ownership structure case by case. A joint venture proposing an activity on that list should settle the split as a regulatory question with the licensing authority before it reaches a term sheet; the same discipline applies wherever ownership runs through more than one jurisdiction or partner type, the ground covered by regulated and complex ownership setup.

How an unincorporated joint venture is taxed

Where the partners choose the contractual route, the Federal Tax Authority treats the arrangement as fiscally transparent by default: the joint venture itself is not a taxable person, and each partner is taxed individually on its own share of the venture's income, assets and expenditure under the Corporate Tax Law. The partners can apply to the Federal Tax Authority to have the joint venture treated as a taxable person in its own right instead, which then files and pays Corporate Tax itself.

Either way, an unincorporated joint venture still has to register for Corporate Tax and receive its own registration number; transparency is not the same as having no filing obligation. An incorporated joint venture company is simply taxed on its own profits, like any other UAE company.

Banking, contributions and bank onboarding

A bank onboarding a joint venture account looks past the licence to the partners behind it: who contributed cash, who contributed assets or IP, how non-cash contributions were valued, and who can instruct the account. An unequal contribution mix, or a wide gap between ownership and day-to-day control, is what most often slows onboarding down.

Prepare the contribution and valuation record, the governance document and a funding schedule before approaching a bank; corporate bank account readiness and business plans and documentation both bear on this stage. Where a partner's own source of wealth is not clear from the contribution record alone, a bank asks for it separately, which source of wealth and funds evidence addresses. Cost is built in layers and the firm's own fee is itemised in the engagement letter; how Velarozone works sets out the approach.

Governance, roles and what commonly goes wrong

A joint venture agreement should fix board composition, reserved matters, deadlock and exit before incorporation, because a bank and a counterparty will both ask who can bind the company and who resolves a stalemate. Where the joint venture company takes on staff and grows past the Ministry of Human Resources and Emiratisation's private-sector headcount threshold, it also takes on Emiratisation growth targets reviewed twice a year, which belongs in the operating budget rather than being discovered after hiring begins.

The most common failure is agreeing a headline ownership split before agreeing how a deadlock is broken: two equal partners with no casting vote or exit mechanism can stall a company indefinitely. A second is leaving IP, customer relationships or key contracts in an individual's name rather than the venture's, which surfaces only when a partner wants to exit.

Questions

Frequently asked

Does a UAE joint venture need its own trade licence?
Only if the partners incorporate it as a company. A contractual joint venture run through an existing partner's company does not get a separate licence of its own; that company's existing licence and commercial registration cover the activity, and the joint venture contract governs the split between the partners.
Does a UAE joint venture still need a UAE national partner?
Not as a general rule. Full foreign ownership is available for most mainland activities. A UAE national or corporate partner is only required where the activity sits on the Cabinet's strategic-impact list, in which case the relevant regulatory authority decides the ownership structure.
How is an unincorporated joint venture taxed compared with a company?
By default it is fiscally transparent: each partner pays Corporate Tax on its own share of the venture's income rather than the venture paying tax itself. It still has to register with the Federal Tax Authority. The partners can apply to have it taxed as a single entity instead.
What happens if the partners cannot agree?
That depends entirely on what the joint venture agreement says before it happens. A workable deadlock mechanism, such as a casting vote, an escalation step or a buy-out formula, has to be agreed and documented before incorporation; equal ownership with no deadlock process is one of the most common reasons a joint venture stalls.

Get your UAE setup plan

Whether a UAE joint venture should be one incorporated company or a contract between two existing ones is a question the ownership, tax and banking facts answer together, not one a formation package answers by default. Velarozone maps those facts against the current foreign-ownership and tax rules before anything is filed.
