How free-zone company setup works

Whichever free zone you choose, the process is the same shape: define the activity in the authority's own language, choose an ownership structure, reserve the name and obtain initial approval, prepare and legalise documents, take licence issuance, then open the immigration file and move on to residency, banking, and tax registration. What differs between zones is the activity list, the premises model, and the renewal obligations — not the sequence.

Ownership structures an adviser will assess

Free zones register a small set of entity forms. The UAE government portal describes the two most common as a Free Zone Limited Liability Company and a Free Zone Company, the difference being the number of shareholders and whether a shareholder is a natural or a legal person. Most authorities also register a branch of an existing company, and several offer a permit issued to an individual rather than to a company.

Not every form is available at every authority, and the form you choose changes which documents must be legalised and how the bank will read the file.

What differs between zones, and what does not

Free-zone companies are governed by the authority of the zone they are registered in, and each zone sets its own procedures and restrictions. Some activities are additionally governed by a separate federal or emirate-level regulator, which has to be identified before any application is submitted.

Customs treatment is common to the zones that handle goods: a licensee may bring goods or equipment into the free zone from abroad without paying customs duty, and duty falls due when the goods leave the zone into the UAE market. Certain categories of merchandise are prohibited in free zones outright.

  • The permitted-activity list, which is set zone by zone and is not transferable.
  • The premises model — desk, office, warehouse, or plot — and how it is evidenced.
  • Whether audited financial statements are a condition of renewal.
  • Whether the zone is customs-bonded and connected to a port or airport.
  • Whether a separate regulator authorises the activity before the licence exists.

What a formation engagement covers

  • Translating what you actually do into the authority's activity language, and confirming it appears on that authority's live list.
  • Confirming current fees, package inclusions, and visa allocation with the authority in writing before you commit.
  • Name reservation and initial approval.
  • Document preparation, attestation, and legalisation guidance for the jurisdictions involved.
  • Establishment card and residency-visa process coordination.
  • Corporate tax registration coordination and a renewal calendar handed over at completion.

What it does not cover

  • Guaranteed licence issuance, fee levels, or processing times — those belong to the authority.
  • Bank-account approval. Banks run their own due diligence and reach their own decision.
  • Legal or tax opinions, including whether an entity is a Qualifying Free Zone Person.
  • Authorisation for a regulated activity by a financial, health, education, or media regulator.

Does the process differ between free zones?
The sequence does not. The inputs do: each authority sets its own permitted-activity list, procedures, and restrictions, so the same business can be straightforward at one zone and impossible at another.
Which entity type should I choose?
It follows the ownership. One individual owner points to a single-shareholder company; an existing business points to a branch or a corporate-shareholder structure. The choice mainly changes which documents need legalising.
Do I pay customs duty on goods entering a free zone?
Goods and equipment can be brought into a free zone from abroad without customs duty. Duty is paid when the goods move out of the zone and into the UAE market.
Can I start before the licence is issued?
Preparation, yes — activity definition, document legalisation, and the banking narrative all run ahead of issuance. The immigration file cannot be opened until the licence exists.
