Operational readiness
Tax and compliance coordination
The short answer
A UAE company must register for corporate tax with the Federal Tax Authority (FTA), and late registration carries an AED 10,000 penalty. Corporate tax is 0% on taxable income up to AED 375,000 and 9% above that, and taxable income is not the same as revenue. VAT registration is mandatory once taxable supplies and imports exceed AED 375,000 over the previous 12 months, or are expected to within the next 30 days.
A missed registration deadline carries an AED 10,000 penalty from the Federal Tax Authority. The FTA waives it for late registrants who file their first return within 7 months of the end of their first tax period, which is hard to do without records.
We coordinate registrations, set the record-keeping standard, and maintain a calendar. Where a formal tax opinion or audited accounts are needed, we work alongside your accountant or tax adviser.

Decision factors
What actually decides your route
An adviser works through these factors with you before any structure is recommended. Each one can change the licence, the emirate or free zone, the visa allocation, and the banking conversation.

Possible directions
Structure categories an adviser will assess
These are topics for assessment, not recommendations. The right answer depends on your activity, customers, ownership, team, workspace needs, and regulator or bank requirements.
Corporate tax registration
EmaraTax application to the FTA, which estimates 20 business days to process a complete application, then the calendar for your first tax period.
VAT assessment and registration
Test against the AED 375,000 mandatory and AED 187,500 voluntary thresholds, then register where required or worthwhile.
Free-zone condition review
Whether qualifying-income conditions are realistic for your activity, reviewed with your tax adviser.
Bookkeeping setup
Accounting system, chart of accounts, and document retention practice.
Register maintenance
UBO, shareholder, and director registers kept current.
Compliance calendar
One schedule for tax, licence, immigration, and tenancy deadlines.

Every route is planned against how the business will actually operate in the UAE.
Licence and approvals
The residence and tax-residence confusion
A residence visa lets you live in the UAE. A tax residency certificate is evidence for tax purposes. Treating one as the other leads to wrong tax assumptions.
Since this was written
Three places the residence-and-tax question gets decided
The calendar rests on three determinations: what a residency certificate proves, which treaty country taxes you, and who earned the rental income.

Questions
Frequently asked
- What is the UAE corporate tax rate?
- 0% on taxable income up to AED 375,000 and 9% on taxable income above that. Taxable income is calculated after allowable deductions and is not the same as revenue.
- Do free-zone companies pay corporate tax?
- Free-zone entities are within the corporate tax regime. A 0% rate on qualifying income is available only to a Qualifying Free Zone Person that meets specific conditions; non-qualifying income is taxed at the standard rate.
- When do I need to register for VAT?
- Registration is mandatory when taxable supplies and imports exceed AED 375,000 over the previous 12 months, or you expect them to within the next 30 days. Voluntary registration opens at AED 187,500, where taxable expenses also count. The mandatory threshold does not apply to foreign businesses.
- Do I need an audit?
- It depends on the authority, the entity type, and in some cases the tax position. Where an audit is required, we coordinate with an audit firm.
- What records must I keep?
- Accounting records and supporting documents must be maintained for the retention period set by the applicable rules. We set the standard at the start so the first filing is not a reconstruction exercise.

Legal notes and scope
Velarozone provides setup and operational-readiness coordination. This page is general information, not legal, tax, immigration, or banking advice.
UAE corporate tax and VAT deregistration depend on your specific facts, including whether returns and liabilities are up to date. Home-country obligations may also apply. We coordinate with your tax adviser and do not give a tax opinion.
Free-zone 0% treatment applies only to a Qualifying Free Zone Person meeting all applicable conditions. It is not automatic because an entity is registered in a free zone.
